Welcome to the Black Vitriol LLC website (“Black Vitriol,” “we,” “us,” or “our”). We are a strategic consulting firm that supports companies and organizations in initiatives such as soft landing, international expansion, business development, strategic relationships, partnership structuring, public–private projects, and, where applicable, support in investment or capital-raising processes (collectively, the “Services”).
These Terms of Service (“Terms”) govern your access to and use of our informational website (the “Site”), as well as any communication, material, content, or resources that we publish or share through the Site.
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
The information on the Site is of a general nature and does not constitute a binding offer. Any Services are formalized solely through a Services Agreement.
You also agree that any agreement, notice, or communication we send you electronically (email, electronic documents, or notices on the Site) satisfies legal requirements for written communications, unless applicable law requires a specific form.
2. Nature of the Service (Consulting — NOT Legal, Tax, or Regulatory Advice)

Black Vitriol provides strategic and business consulting services. We are not a law firm, an audit firm, a customs broker, nor an official regulatory services provider.
2.2
Nothing we share—including meetings, analyses, reports, recommendations, presentations, models, templates, Site content, or business introductions—should be interpreted as:

regulatory certification or representation;

official representation before authorities;

a guarantee of permits, licenses, or approvals.
2.3
Any decision you make based on information from the Site or our Services must be validated, where appropriate, with certified professionals (lawyers, accountants, customs experts, regulatory consultants, etc.).
2.4
Use of the Site and implementation of any recommendations is at your own risk.
3. Scope of Soft Landing and International Expansion Services
3.1
Soft landing services may include, depending on the case and what is agreed: market research, competitive analysis, pricing research, channel identification (retail, distribution, B2B), logistics estimates, general risk assessment, negotiation support, and coordination of relationships with local stakeholders (partners, distributors, buyers, institutions, etc.).
3.2
Services are provided on a case-by-case basis. The specific scope, timeline, deliverables, fees, and responsibilities will be defined in a proposal, Statement of Work (SOW), or separate contract (a “Services Agreement”). In the event of a conflict between these Terms and a Services Agreement, the Services Agreement will prevail for that project.
3.3
Black Vitriol does not guarantee specific commercial outcomes (e.g., closing deals, achieving distribution, sales, investment, licenses, health registrations, or contracts with public or private entities).
4. Market Information, Sources, and Limitations
4.1
Some of our Services and/or materials may be based on third-party sources (databases, reports, public sources, government information, logistics providers, marketplaces, catalogs, etc.).
4.2
While we strive to use sources we consider reasonable, we do not guarantee that the information is complete, up to date, or error-free. Markets, regulations, tariffs, logistics costs, and commercial conditions may change rapidly.
4.3
Any pricing, competition, or demand analysis is indicative only and depends on assumptions, data availability, and market changes.
5. Use of Digital Tools and Technologies (Including AI)
5.1
Black Vitriol may use technological tools to improve efficiency (e.g., CRM systems, data analysis, automation, meeting transcription, dashboards, and, in some cases, artificial intelligence models).
5.2
If we use AI to draft, summarize, structure information, or generate preliminary content, you acknowledge and accept that:

there may be inaccuracies or omissions;

information may be outdated;

outputs must be reviewed by humans and by you;

you should not make critical decisions based solely on automated outputs.
5.3
Black Vitriol does not guarantee absolute accuracy of outputs generated by automated tools and assumes no responsibility for decisions made without proper validation.
6. Commercial Relationship and Engagement
6.1
The Site is informational. Use of the Site alone does not create a client–consultant relationship.
6.2
To engage Services, the parties must agree in writing (e.g., accepted proposal, SOW, or contract).
6.3
If you engage Services on behalf of a company or organization, you represent that you have authority to legally bind it.
6.4
We may reject or terminate conversations or commercial processes if we identify legal, compliance, reputational, or security risks.
7. Proposals, Payments, and Economic Terms
7.1
Fees, payment terms, reimbursements, milestones, and any commissions or success fees (if applicable) will be agreed upon in the Services Agreement.
7.2
Unless otherwise stated in the Services Agreement, payments are non-refundable once work has begun, as the Services involve professional services and allocation of time and resources.
7.3
If there are reimbursable expenses (travel, translations, legalizations, database access, specialized third parties), they will be defined in writing.
8. Relationship with Third Parties (Partners, Distributors, Investors, Government, etc.)
8.1
Black Vitriol may facilitate introductions and strategic relationships with third parties. However:

we do not control third parties;

we do not guarantee their performance, intent, solvency, or compliance;

any agreement with third parties is solely your responsibility and theirs.
8.2
We may suggest providers (logistics, research, legal, regulatory, etc.), but we are not responsible for their services, pricing, or results unless expressly agreed in writing.
9. Confidentiality
9.1
We may receive confidential information (strategy, pricing, suppliers, figures, internal documents, etc.). We commit to using it solely to provide Services or prepare a proposal, as applicable.
9.2
We will not disclose your confidential information to third parties except:

with your authorization;

when reasonably necessary to provide Services (e.g., with providers or partners, strictly as needed);

when required by law or a competent authority.
9.3
You agree not to disclose Black Vitriol’s confidential information, including methodologies, proposals, models, templates, and internal materials, without written authorization.
10. Intellectual Property
10.1
All Site content (brand, logo, texts, designs, materials, structure, resources, methodologies) is owned by Black Vitriol or used under license, unless otherwise stated.
10.2
You may not copy, reproduce, redistribute, or create derivative works from the Site content or our methodologies to create a similar or competing service without written authorization.
10.3
If reports, analyses, or documents are delivered as part of a Service, permitted use will be defined in the Services Agreement.
11. Client Materials
11.1
You are responsible for the materials you share with Black Vitriol and warrant that you have the right to share them.
11.2
If you share third-party information (e.g., customer, distributor, or lead data), you warrant that you have the necessary authorization and comply with applicable laws.
12. Data and Communications
12.1
When contacting us (e.g., via forms, email, or meeting scheduling), you may provide contact and corporate data. We may use this information to respond, coordinate meetings, prepare proposals, and provide Services. You are not required to submit sensitive or confidential information through the Site.
12.2
We may retain communications and documents for as long as reasonably necessary for operational, contractual, accounting, legal, and security purposes, as permitted by applicable law.
12.3
We may use technology providers (email, storage, CRM, video calls, etc.) to operate. We do not guarantee uninterrupted availability of third-party services.
12.4
The Site may use cookies or similar technologies for functionality, analytics, and Site improvement.
13. Prohibited Uses
You agree NOT to:

Use the Site or Services for illegal purposes or to violate sanctions, export controls, or anti-corruption laws;
13.2
Attempt to breach, interfere with, or gain unauthorized access to our systems;
13.3
Introduce malware, scrapers, or unauthorized automation;
13.4
Impersonate others or provide false information;
13.5
Use our content, proposals, or methodologies to create a competing service;

Request or promote bribery, improper payments, or corrupt practices.

14. Compliance, Sanctions, Anti-Corruption, and Export Controls
14.1
You acknowledge that international operations may be subject to anti-corruption laws, economic sanctions, export controls, and customs regulations.
14.2
You agree to comply with such rules and not to request illegal activities from Black Vitriol.
14.3
If we identify serious compliance risks, we may terminate the relationship immediately.
15. Disclaimer of Warranties
15.1
The Site, our Services, and any content are provided “AS IS” and “AS AVAILABLE.”
15.2
We do not guarantee that:

you will achieve sales, investment, licenses, or agreements;

third parties will agree to negotiate with you;

Site information is complete or accurate;

the Site will be uninterrupted.
16. Limitation of Liability
16.1
To the maximum extent permitted by law, Black Vitriol shall not be liable for indirect, incidental, special, consequential damages, loss of revenue, loss of opportunities, loss of reputation, or loss of data.

Black Vitriol shall not be liable for:

client decisions based on recommendations;

acts or omissions of third parties (distributors, brokers, governments, investors, logistics providers, etc.);

regulatory, tariff, currency, or macroeconomic changes;

negotiation outcomes.
16.3
Unless otherwise stated in the Services Agreement, Black Vitriol’s total liability shall not exceed the amount actually paid by the client to Black Vitriol in the three (3) months preceding the event giving rise to the claim.
17. Indemnification
You agree to indemnify and hold harmless Black Vitriol, its team, and affiliates from claims arising from:
17.1
Your improper use of the Site or Services;
17.2
Violation of applicable laws, sanctions, or anti-corruption rules;
17.3
Infringement of third-party rights through your information or materials;
17.4
Disputes between you and third parties introduced by Black Vitriol.
18. Modifications to the Terms
18.1
We may update these Terms at any time.
18.2
The current version will be posted on this page with the update date.
18.3
If changes are material, we will make reasonable efforts to notify you.
19. Termination
19.1
You may stop using the Site at any time.
19.2
We may restrict access to the Site if we detect abuse, attacks, interference, or violations of these Terms.
19.3
Termination does not affect prior obligations (confidentiality, intellectual property, outstanding payments if applicable, etc.).
20. Governing Law and Jurisdiction
20.1
These Terms shall be governed by the laws of the State of Florida, United States.
20.2
Any dispute shall be submitted to the competent courts of Florida, United States, unless a Services Agreement provides for arbitration or another mechanism.
